Miller, and we're here today to take your testimony in a deposition. You may know that you have undergone a deposition before, so I'm assuming that you are comfortable with the fact that I'm going to be asking you a series of questions, and you're going to be giving answers to those questions under oath. Yes. Do you understand that's the same oath that you would swear in front of a judge or a jury? Yes. Because it's under oath testimony, it's obviously very important that you understand my question before answering it. So I'm going to ask you, please, do not answer any question you don't understand. Okay? Yes. I'm more than happy to rephrase things or ask it in a different way or try and use different words or what have you if you feel uncomfortable with the question that I pose to you. So please just let me know if you have any trouble at all understanding the questions. Okay? Yes. So far you don't seem to be having a problem with this, but many times, especially under Zoom, people will start talking while the other person is still speaking, and it makes for a very disjointed and difficult-to-follow transcript. And so I'm going to ask you, even though it seems a little unnatural, it's not normally the way we speak to each other, for you to wait until I'm completely finished with my question before giving an answer. April 1st, 1965. How are you employed? I have a car wash. Is that your only source of employment? Yes. Is there an entity that owns the car wash? Yes. What is the name of that entity? Viper Holdings. What is your relationship, if any, to Viper Holdings? I think I'm a manager. Viper Holdings is an LLC, is that correct? I think so. So are you a member of that LLC? I think so. You know, I don't know all this business stuff. Are there any other members of the LLC aside from you? Yes. Who? My brother, Reed Brightman. V-R-E-I-D-A-N. Well, do you have member meetings or shareholder meetings, things of that nature, for the company? No. How do you manage the company? Or to strike that a better question would be, how is the company managed? You know, I don't know these answers. Okay. Who runs the company on a day-to-day basis? Again, I don't know these answers. Well, there are only two people that are members of the company, right? Yes, as far as I know. Okay. So you say you're employed by the company, yes? I work for Liberty Express Wash. Is Liberty Express Wash a separate legal entity from Viper? I don't know that answer again. Sorry. Do you report to anybody? I'm not sure how to follow that either. I don't know that answer. Do you have to run any decisions for the car wash by anybody before you act upon them? Some of them I do. What decisions do you have to run by others? What decisions I choose to. What types of decisions might those be? You know, I don't know how to answer that question. When something comes up, I do the best I can, and I think about it, and if I feel that I need to run them by Viper, I will. When you run them by Viper, who at Viper do you run them by? Reed. When is the last time strike that? Are there any decisions that you are required to run by Reed before making them yourself? Warren Foundation, answer it again. Things that are expensive or things that I want advice from. Define things that are expensive as you just used it in that last answer. I try to do, I try to run stuff by him if it's going to be over $4,000, if I think it's something that I should talk to him about. Do you and Reed have any agreement that that is something that you are to do? I believe a long time ago he mentioned he wouldn't mind hearing about something if it's over $4,000, but certain stuff, like if there's a repair that needs to be done, I'm just going to get it done, and I'll tell him about it when I speak with him. When is the last time that something like that occurred where there was a repair and you decided to just get it done before consulting with Reed? I don't remember the exact date. Tell me generally. I don't know that answer. Tell me what was being done. We installed an arch and got rid of an existing arch. What type of arch? A rinse arch. So this would be an arch that would be within the car wash tunnel? Yes. It does something to assist in washing the cars, I take it? It rinses cars. Why did you replace that arch? The existing arch was cumbersome, and I had a good opportunity, so I took advantage of the opportunity. What makes an arch in a car wash cumbersome? I don't like the way the arch works. Can you describe that, please? It contours vehicles and it stresses me out. I wonder one day if it's going to give me more grief than it's already given me. Oftentimes we would have an alarm sound when it doesn't want to work or if somebody's vehicle hit one of the safety bars on it, or I worry about, you know, vehicles that have lumber racks or different types of bike racks or canoe racks. It just stresses me out. And the part that stresses you out is the fact that this arch would follow the contours of vehicles and you were concerned about whether it was going to get around them reasonably. So the arch requires an inch-and-a-quarter rubber belt that was maybe three-sixteenths of an inch thick, and I was always worried that one day that thing breaks, it's going to come down on a car. So I wanted to preemptively get rid of it and not have to worry about such a thing, not have to worry about possibly having a button that gets pushed in the front of the tunnel get pushed. It's a smart thing to do. So then did you transfer to a different type of arch, one that's fixed rather than loose with the contours of the vehicle? Yes. And how much did this cost? Well, I sold the existing arch, or well, I traded for the existing arch, and the new arch was about $6,100. In addition to the trade-in value? No. So the sale price was $6,100, and then you got a credit for having traded in the old one? I traded the old one with another car wash owner in Colorado that wanted it, and he gave me a couple of paints that were smaller, and he's getting me a pump, and he took the existing arch down. Okay. No. When is the last time that you ran a decision by REIT for the business? I don't remember. As part of your claims, well, in this lawsuit, and when I say you, I really mean your company, Viper Holdings, you're claiming damages on account of having to purchase a bond to bond around the liens that were in place. Are you aware of that? I know of the bond. Okay. From whom did you purchase the bond? I don't know that answer. Why do you not know that answer? Maybe I'm not sure what the bond is. Are you talking about the one from Argonaut? No, sir. Okay. Then I don't know what you're talking about. In your discovery responses, you indicated that, well, let me back up further. You're aware that A.D. Miller, Bighorn, and Tout Brothers all filed liens on the property, right? Yes. Okay. And in order to remove those liens, a landowner has the option of purchasing a bond that would pay those liens and get them off of the property if the liens are appropriate to be paid. Do you understand that? Yes. Okay. In order to get that bond, you have to pay somebody for it. You have to ask somebody to give you the bond and give them money for the bond. Who paid for the bond? Foundation. Answer if you can. I can't answer. Reid? Reid Pfeiffer? I can't answer. I don't know that answer. But did he have any discussions with Reid about it? I believe so. It was a long time ago. How long ago? I don't know. When you had the conversations with Reid, what did you discuss? Again, it was a long time ago. I don't remember. Do you know where the money came from to pay for the bond? Pfeiffer borrowed it. Who did Pfeiffer borrow the money from? I don't know. Does Pfeiffer have any paper records or electronic records showing from whom he borrowed the money for the bond? So, Mr. Reitman, with regard to the bond, do you know whether a party other than Reed supplied the money for the bond? I don't know that answer. Did you talk to him about it? Do you know? I can't remember. Do you know how much the bond was? I can't remember how much it was exactly. Tell me generally what you think it was. Over $500,000. Okay. So, you can't recall where $500,000 came from to pay for a bond? That would be a question for VIPER. I can't answer that. That wasn't my question, sir. I'm asking you, Ty Reitman, as a member of VIPER, who is employed by VIPER, if you have no memory of where $500,000 came from to buy the bond. Answer if you can. Sorry, Don. Oh, it's okay. I don't remember how that money got to VIPER. Do you know whether VIPER has to pay any interest on that bond? I believe VIPER pays interest on that bond. Why do you believe that? As I sit here right now, I can't remember. So you have absolutely no idea on God's green earth where $500,000 came from to bond around the leaves? I know that Reed got the money. I don't know where Reed got the money from. That's not my question to answer. What is Reed's role on a day-to-day basis today with VIPER? I don't know. What does Reed do for a living? Reed is retired for the most part right now. When did he retire? I don't remember. What did Reed do before he retired? He has many different things that he does to earn money. Including? Including real estate and he owns a law firm. So is he a lawyer? He is a lawyer. How long has he been a lawyer? I don't know. Is he an older brother or a younger brother? Younger. How much younger? Two years. Do you know what type of law he practiced? I know his degree was in corporate law. But I don't know enough about law to be able to answer that question accurately. So did you take the classes sometime after 1984? Yes. Okay. Did you take them before 1990? I don't know exactly. You didn't graduate from high school, as I understand it. Is that correct? That's correct. How many grades did you complete from high school? 11th, and then I took the GED. Did you finish the 11th grade, or did you leave during the 11th grade? You know, I don't remember. I don't remember the exact date. I believe it was around 2017. What caused you to become interested at that time? I don't believe that construction is a good business for somebody that's honest. So how does that translate into you becoming interested in a car wash? I needed to do something else. Okay. Did you feel like you had to be dishonest as a contractor? I think that you have to compete with too many people that are dishonest, and I won't be dishonest. I see. And when you were becoming interested in the car wash, you were a contractor of some sort, correct? Yes. And you had a company by the name of Diversified Builders? Yes. What type of construction did you do as Diversified Builders? Residential remodeling. What does that consist of for you? I did anything basically that was, for the most part, on residences. I did some work on commercial when I was with Osprey. And Osprey was a franchise for Servpro, correct? Yes. So when you were doing contracting work, it was under the Servpro name, is that right? During the time that I worked for Osprey, yes. Okay. And when was that? I can't remember the date. Well, give me an idea of the timeline of your work as a contractor. You moved to Colorado in 2012, is that right? No, I moved in December of 2013. Okay. And what were you doing for work in December of 2013? When I first moved to Colorado, I wasn't doing much work at all. I did work at Cabela's for a bit of time to try something fun, and I don't remember when that was. So how long after December of 2013 did it take for you to get into contracting here in Colorado? You know, I don't remember. I worked for a contractor, I think, after Cabela's, and then after that I worked for Servpro, and I don't remember what those dates are. Okay. Do you remember when you stopped working for Servpro? I don't remember exactly when I stopped working for Servpro. I think it was either 2019 or 2020. Okay. What did you do for work when you stopped working for Servpro? I worked for myself. As diversified builders? Yes. How many employees did diversified builders have? I didn't really have any employees. I would work with either subs or people that I know. What do you mean when you say, I would work with subs? Subcontractors. I understand that, but how did that work? Were you the general contractor? Were you working for the subcontractor? Were you working alongside the subcontractor, doing the same scope of work? If you want to stop, I'll answer. I was the general contractor. How did you get your business? Meaning diversified builders? Yes. How did I get that business? I started it. Okay. That's an instance of, if you don't understand my question, I'm perfectly happy to ask it in a different way. But there was also, I will grant you perhaps a poorly phrased question. When diversified builders was getting work done, or when it was getting jobs, how would it go about getting the jobs? Did you advertise? Did you have business cards spread out? What? I got my work from referrals. Were there any particular sources of referrals that you got work from mostly? Different clients and somebody put me on next door a couple of few times, and then I started getting a lot of calls. When did you stop doing work as diversified builders? I don't know the exact date, but I know that once we started the car wash, I didn't do any construction anymore since then. You started the car wash March 19th of 2022, correct? Yes. Prior to that, when was the last time you had a construction project? I can't remember. I was thinking about that. I believe it was 2021. Early 21 or late 21? You know, I can't remember exactly, but I did a few projects before the car wash that were all around the same time frame. Describe what those few projects were. Basements, decks, a roof, some floors. I don't know. When you say basements, do you mean finishing a basement? Yes. How many basements did you finish in 21? I don't remember. When you say decks, do you mean that you built decks? Yes, remove and replace or build new decks. How many of those did you do in 2021? Or repair. I don't remember. When you would do your work, did you have written contracts? To the extent that I know what a contract is, we would have agreements with how much it cost and what the scope of work was. Would that be in writing? Yes. Would you sign it? No, I don't remember. Would your customers sign it? Yes. Why did you have them sign a document showing what work was going to be done and how much was going to be paid? So we were on the same page. Any other reason? It's what you do. When you sign a document, do you read it before doing so? For the most part, I try, but not everything. Do you accept the fact, though, that when you sign a document, it's your responsibility to have read it? I expect the part that I'm supposed to know it. Do you accept or expect that? They were supposed to use, and there was other places, too, that was found that was only half-inch thick. And like I said, there's supposed to be quarter-inch scratch, half-inch ground, quarter-inch color. And we found areas of the stucco that was only half-inch thick. So where those areas are, and on the foam, as far as I remember and understand, They were supposed to glue, add fiberglass mesh, and stucco. Was that done? I don't think it's supposed to be able to do slope more than 2%. So they rounded it off. And it was the sidewalk came out 3 feet or so, give or take. And then it had a 6-ton radius downward, which was one of the issues. And I can't remember the other one. Anything else? I can't remember. So that, the retaining wall is an instance where ADM gave an estimate to do a certain type of work that wasn't in the original contract, right? Yes. Proper repair was going to be replacing all that cement and the hydronic lines, and you would have to drain the hydronic system, the snow melt system of glycol, before you would cut. Then you would cut, no matter where it was. If you were going to cut through hydronic lines, the system has to be drained, then the concrete has to be cut, removed, and then it has to be jack-hammered out approximately 24 inches past the saw cut, so you can expose the hydronic lines, clean them, cap them, well, clean them, and make sure that you cut back enough where none of the concrete debris from breaking it out would still be in those lines that would circulate through the system and damage it. And is it your testimony that A.D. Miller did not agree to do that sort of work? Yes. And what did you base that upon? Their employee telling me that's not the way they were going to do it. And their employee being Drew Miller? It wasn't Drew. It was some guy that said he worked for Drew. Like I said, I can't remember. Do you have an address for Nick Somerville? Because we can't figure out why the snow melt system wouldn't be operating and what we think is maybe because the thermostat wire is too close to a hydronic tube. I believe the manufacturer set out that it's supposed to be ten inches away or something to that effect of any hydronic tube. If it's too close to that tube, I am assuming, I don't know, I'm not a hydronic expert, that the thermostat wire would, you know, feel that the system was warm enough to where it would shut off. I know that the hydronic tubing is supposed to be two inches from the surface of the slab and I know it was all over the place. Sometimes it was five inches deep, sometimes it was on the ground, and sometimes it's a quarter inch deep. Well, if you knew that, why didn't you say something to somebody about it? You don't find out until you start. When we did the repair, the 1800 square feet, that's when we saw a lot of variation in the hydronic tubing and also, later on, that you guys are aware of, there was a piece of hydronic tubing that was actually exposed in the driveway that we had to cover with a piece of metal tubing. We became aware of this. I saw it. I contacted my attorneys. My attorneys contacted the engineers and I believe your engineers as well, or ADM people as well. So, on November 1st, 2004, you were asked whether you would ever check to see whether you could turn the snow melt system on manually without ripping yourself. Do you recall that? I don't remember, but that is a great thing. I do remember during our competition, those guys said something about it, and I forgot. Since that time, have you done anything to check whether you can turn it on manually? No, like I said, I forgot. It's supposed to...
